Twitter Puts Board Structure to a Vote, Backs CEO, and Restarts Share Buyback Program

The moves appear to be a compromise between the company and an activist investor. Changes could be afoot in the boardroom of Twitter (NYSE:TWTR). The operator of the popular instant messaging service disclosed in a regulatory filing submitted after market hours on Monday that it's putting the framework of its board of directors up to a shareholder vote, while reaffirming its current management structure. It is also relaunching its suspended share repurchase program. These updates come at the recommendation of the management structure committee, which was formed in March to evaluate the makeup of both the company's management and its board. Twitter will put the restructuring of its board to a vote during its 2021 annual general meeting of shareholders, recommending that they favor the proposal. Twitter currently has a staggered board, meaning that its directors serve for varied terms. If the proposal is ratified, all directors will have year-long terms. In a victory for Twitter's high-profile CEO Jack Dorsey, the company wrote in the filing that "the Committee expressed its confidence in management and recommended that the current structure remain in place." Previously, Elliott Management had reportedly called for his removal. As for the share repurchase program, almost no details were provided. Twitter only divulged that the restart would occur this quarter. It said more information would be provided in the company's upcoming 10-K annual report for 2020. The five-member management structure committee was made up of three independent directors, one executive apiece from Elliott Management and fellow Twitter shareholder Silver Lake Partners, and three of the company's board members.

Twitter's board on Monday said Jack Dorsey will remain chief after a management review prompted by an activist investor's effort to push him out of the job.Twitter in March made a deal with key investors to end an effort to oust Dorsey, creating a new committee on the board of directors to keep tabs on company leadership.The plan called for a fresh investment in Twitter by private equity group Silver Lake, and a pledge by the social media group to launch a $2 billion share repurchase plan.The deal also enabled the hedge fund Elliot Management -- which had been pressing to remove Dorsey -- to get its partner Jesse Cohn a seat on the board of the San Francisco-based firm.As part of the agreement, Twitter created a temporary board committee to "build on our regular evaluation of Twitter's leadership structure."Twitter had been facing pressure by Elliott Management, which owns about four percent of the company, to replace Dorsey, amid concerns he has spread himself too thin by running Twitter along with the digital payments firm Square."The committee expressed its confidence in management and recommended that the current structure remain in place," the board said Monday in a filing with the US Securities and Exchange Commission.The board endorsed the committee's recommendations.gc/jh

(Reuters) - Twitter and Facebook late on Monday both flagged a post by President Donald Trump that called a U.S. Supreme Court decision on voting in Pennsylvania "very dangerous." The U.S. Supreme Court last week allowed extended deadlines for receiving mail-in ballots in Tuesday's election in Pennsylvania and North Carolina, states pivotal to Trump's re-election chances. The decision let stand a ruling by Pennsylvania's top court allowing mail-in ballots postmarked by Election Day and received up to three days later to be counted. "The Supreme Court decision on voting in Pennsylvania is a VERY dangerous one," Trump wrote in his post on both platforms. "It will allow rampant and unchecked cheating and will undermine our entire systems of laws. It will also induce violence in the streets. Something must be done!" Twitter added a disclaimer to Trump's tweet, saying that its content was "disputed" and "might be misleading." The action was in line with Twitter's "civic integrity policy," a Twitter spokesman told Reuters, saying that the social media the platform will "significantly restrict engagements" on the tweet. Twitter's disclaimer included a link to information on how voting by mail is "legal and safe." Facebook posted a disclaimer saying that voting by mail and voting in person have a "history of trustworthiness" in the U.S., with voter fraud being extremely rare. False video of Joe Biden viewed one million times on Twitter

New York (CNN Business)A deceptively edited video of Joe Biden making it appear the Democratic presidential nominee forgot what state he was in was viewed more than one million times on Twitter over the weekend. In the video, Biden addresses a crowd — saying, "Hello, Minnesota!" The event did, indeed, take place in St Paul, Minnesota. In the unedited, original video, signs in front of and behind Biden on the stage read "Text MN to 30330" — making it clear the event was in Minnesota. However in the false video, the on-stage signs were edited to read "Tampa, Florida," and "Text FL to 30330."The video was shared on Twitter by a person who accused Biden of forgetting what state he was in.One version of the false video circulating on Twitter was viewed more than 1.1 million times in less than 24 hours. The video was only labeled as "manipulated media" by Twitter on Sunday evening after it had more than 1 million views. The user then deleted the video. President Donald Trump's own team and his supporters have repeatedly pushed misleading videos arguing Biden is not mentally fit for office. Back in March, Trump and his campaign promoted a clip that wrongly made it seem like Biden had endorsed Trump. He, of course, hadn't.In August, White House social media director Dan Scavino shared a video that purported to show Biden falling asleep during a TV interview. Twitter on Thursday labeled a tweet from Russian state media outlet RT (formerly Russia Today) that included a video implying widespread voter fraud is plaguing, and potentially delegitimizing, the U.S. election.Why it matters: It's the first time Twitter has labeled RT's account with a civic integrity label, or a designation used to highlight efforts to manipulate or interfere in elections or other civic processes.What they're saying: "We placed a label on the Tweet you referenced for making potentially misleading claims that could undermine confidence in the election, and to offer more context for anyone who may see the Tweet," a Twitter spokesperson said. "This action is in line with our updated Civic Integrity Policy."Earlier this month, Twitter said it would expand the number of labels it put on tweets to help curb the spread of misinformation surrounding the U.S. election. The big picture: Intelligence officials have warned that Russia is meddling in the U.S. election, and using strategic disinformation campaigns as a weapon to do so. On Thursday, former Director of National Intelligence Dan Coats told CBS News' Norah O'Donnell that the intelligence community has "full confidence that the Russians are going after our elections," despite the fact that President Trump has disputed that claim.Be smart: Russia will often deploy disinformation using its state-backed media accounts, with hopes that other domestic media outlets will pick it up.
