Twitter Puts Board Structure to a Vote, Backs CEO, and Restarts Share Buyback Program

The moves appear to be a compromise between the company and an activist investor. Changes could be afoot in the boardroom of Twitter (NYSE:TWTR). The operator of the popular instant messaging service disclosed in a regulatory filing submitted after market hours on Monday that it's putting the framework of its board of directors up to a shareholder vote, while reaffirming its current management structure. It is also relaunching its suspended share repurchase program. These updates come at the recommendation of the management structure committee, which was formed in March to evaluate the makeup of both the company's management and its board. Twitter will put the restructuring of its board to a vote during its 2021 annual general meeting of shareholders, recommending that they favor the proposal. Twitter currently has a staggered board, meaning that its directors serve for varied terms. If the proposal is ratified, all directors will have year-long terms. In a victory for Twitter's high-profile CEO Jack Dorsey, the company wrote in the filing that "the Committee expressed its confidence in management and recommended that the current structure remain in place." Previously, Elliott Management had reportedly called for his removal. As for the share repurchase program, almost no details were provided. Twitter only divulged that the restart would occur this quarter. It said more information would be provided in the company's upcoming 10-K annual report for 2020. The five-member management structure committee was made up of three independent directors, one executive apiece from Elliott Management and fellow Twitter shareholder Silver Lake Partners, and three of the company's board members.

Culture Organizing Brings New Voters To The Polls

Cultural references in politics have stayed on the right side of respectability and civility, doing just enough to grab attention but not genuinely engaging with people. Often coupled with last minute get out the vote efforts, these attempts at using culture come across as inauthentic or fake.  But over the past few years, a new wave of organizers are rejecting the pearl clutching of traditional political campaigns and connecting with Black and other communities of color on their own terms. “Our politics are in response to culture. Because culture tends to move way faster than politics,” Amber J. Phillips, culture organizer and strategist, said. “People consume politics and culture at the same time.” Electoral participation and civic engagement are cultural practices. Aside from attracting a new generation of civically committed people, Phillips says that culture can lead us to what a new future could look like. Instead of waiting for rushed celebrity events as a part of get out the vote activities, organizers are bringing in art, language, and music into the core of their work.  “We want to change the culture of voting,” Nse Ufot, CEO of the New Georgia Project, said in an interview with Scalawag Magazine’s As the South Votes. “We need to lean into culture in order to do so.” Ufot shared that most people were skeptical when the New Georgia Project started working with gamers. She said people had no clue what relevance gaming had to voting rights. The eldest Kardashian daughter, Kourtney, 41, is catching flak for peddling eyebrow-raising claims about the supposed health risks of surgical masks to her 102 million Instagram followers. On Halloween, the “Keeping Up With the Kardashians” star reposted an unattributed blurb that read in part, “Those Blue Masks Mandated at grocery stores & airplanes are made of PTFE, a carcinogen made of synthetic fluoride.” The medical warning about PTFE, or polytetrafluoroethylene — a man-made chemical found in nonstick cooking coatings like Teflon — included a picture of a ubiquitous three-ply, single-use blue surgical mask. The post went on: “According to Cancer.Org it increases the risk of liver, testicle, pancreas, kidney & breast tumors + ulcerative colitis, thyroid disease, preeclampsia and high cholesterol. High exposure can cause influenza-like symptoms and hemorrhaging in the lungs, leading to suffocation.” Kardashian also added her own commentary: a wide-eyed emoji and another with an exploding head. One reader, meanwhile, called her post “scaremongering.” But the American Cancer Society, listed as the source for the revelations, denounced the advisory. “There is no evidence to support the claim that the presence of PTFE in a mask causes cancer,” Dr. William Cance, chief medical and scientific officer of the ACS, told The Post. “As a surgical oncologist, I, along with thousands of colleagues in the health-care profession, have been wearing masks for years to protect patients from the spread of infections,” Cance added. On Election Day, Instagram mistakenly tells some users that 'Tomorrow is Election Day'

Today is Election Day in the United States, but some Instagram users are being told otherwise As reported by Protocol, Instagram is mistakenly still displaying a notification at the top of some users’ feeds that simply reads, “Tomorrow is Election Day.” Instagram was inundated with complaints from users on Twitter, and the company responded by saying the “Tomorrow is Election Day” notification was cached for “some users” on Tuesday and that restarting the app should clear it: While we turned off the “Tomorrow is Election Day” notice last night, it was cached for a small group of people if their app hadn’t been restarted. It’s resolving itself as people restart. Today, people will get “It’s the Last Day to Vote” at the top of feed. Instagram spokesperson Raki Wane declined to say exactly how many people were affected by this caching issue, but Protocol anecdotally adds that some users were still seeing the “Tomorrow is Election Day” messages as late as 1:45 pm ET today. Instagram says that all users should receive accurate information via their notification center soon. Protocol also received a screenshot from a friend asking, “Why has Instagram been telling me all day so far that tomorrow is Election Day?!?” That screenshot was taken around 1:45 p.m. ET. Shortly after, Wane told Protocol, “Everyone should be receiving the accurate information shortly, as well as a notification in their notification center with accurate details.” Ideally, this notification could have been refreshed as users refreshed their feeds and their stories carousel — thereby solving the alleged caching issue. Regardless, Instagram should have anticipated this issue form the start and worded the initial notification differently, or put better precautions in place.
